Service agreement for Kifer Sparks Agency, Steadycast

1. Parties

Steadycast ("we", "us"). Operated by an individual (sole operator). Contact: steadycast@mail.grokbot.com.
Kifer Sparks Agency ("you"). Contact: the email address you accept from.

This agreement, the proposal dated 12 October 2026 and our terms at https://telegra.ph/Steadycast-Terms-of-Service-10-03 apply together. If they conflict, this agreement wins, then the proposal, then the terms.

2. Package and scope

Package: Setup + Month 1 · Start date: once the start payment is confirmed on-chain · End date: the end of month 1

Offer and positioning: Who you help, the problem you solve, and the one next step for viewers
AI avatar setup: We set up your avatar in your own avatar tool account, from the consent and training video you record
Videos: 12 videos in month 1 (16 in month 1 with the founding client extras), scripted, edited and captioned
Posting plan: for the month; you choose whether we schedule or you post
Reporting: none
Handover (Setup + Month 1 only): Your scripts, videos, templates and a short playbook

Not included: ad spend; third-party tool plans (including your avatar tool plan); replying to comments or DMs for you; platforms not listed above. Unused videos don't roll over to the next month, unless the delay is our fault or we agree otherwise in writing.

3. Your responsibilities

Consent and training video: you record your own consent and training video, following the avatar tool's instructions. We never create an avatar of anyone without that person's own recorded consent.
Avatar tool plan: you open an avatar tool plan sized to your volume, in your name. It's billed to you and owned by you, and isn't included in our fees. You give us access to produce your videos, and you can remove that access at any time.
Script approval: you approve or reject each script, or ask for changes, within 3 business days of receiving it. Delays on your side move delivery dates. Each script includes one round of changes.
Accurate, lawful content: you give us accurate information. You make sure the claims in your content are true and lawful for your industry, and that anything you send us (logos, photos, music, testimonials) is yours to use.
AI labels: you keep the AI labels and caption notes we add, turn on each platform's AI label where one exists, and never present the avatar as you filming live.

4. Fees and payment

Fee: USD 3,000 for the package above.
Founding client extras: Founding clients (first 3 only): 4 bonus videos in month 1 (16 instead of 12 on Setup + Month 1, or +4 on a 90-day package) and your first batch delivered within 5 business days of your avatar being ready, in exchange for a testimonial and case study. Any published testimonial or case study will say the client received these founding-client extras. The fee above doesn't change: no package is priced below USD 3,000. The testimonial and case study are honest about your results, whatever they are; you approve both before publication, and you can ask us to leave out confidential details.
Payment: USDT, $3,000+ equivalent; wallet address and network are given on the invoice.
Payment schedule (two invoices; the total fee never changes). We send the start invoice only after you accept this agreement in writing. Your first 3 videos are delivered and approved before the full payment is due.

Payment option chosen: start + balance (USD 1,000 + USD 2,000).

Approval for payment purposes: a video counts as approved when you approve it, or 3 business days after delivery if you haven't asked for changes by then (the one included round of changes still applies).
Network: EVM only: Ethereum (ERC-20), Polygon or Arbitrum, as named on the invoice; never Tron (TRC-20). USDT sent on any other network may be lost and isn't treated as payment.
Receipt: the on-chain transaction is the receipt. Email us (steadycast@mail.grokbot.com) the transaction hash with the invoice number.
There are no deposits and no charges before written acceptance.
A payment is final once confirmed on-chain, except for refunds owed under this agreement (section 5). You pay any network fees on your side, and you're responsible for sending the right amount to the exact wallet address and network on the invoice. A payment counts as received when it's confirmed on-chain to that address.

5. Refunds and cancellation

First-3-videos guarantee: If we don't deliver your first 3 videos within 10 business days of your avatar being ready (5 for founding clients), you can cancel and get the start payment back in full, in USDT, to a wallet you name, minus network fees. Time you take to approve scripts doesn't count towards those days. "Avatar being ready" means your avatar is live in your avatar tool account and works for production.
You cancel before onboarding starts (before we receive your consent video or start scripting): full refund of the start payment.
You cancel after onboarding starts, but before the first video is delivered (and the guarantee above doesn't apply): 50% refund of the start payment.
You cancel after the first video is delivered (Setup + Month 1): no refund of the start payment. The balance falls due only once the first 3 videos have been delivered and approved, and you own the videos once the amount due is paid.
90-day packages: you can cancel at any time with 14 days' written notice. Months that are fully paid and have started aren't refunded. Paid months that haven't started are refunded in full. If you pay in instalments, no further instalments fall due after the notice period ends.
We cancel, or can't deliver for reasons on our side: a pro-rata refund for undelivered videos.

Any refund owed under this agreement is paid back in USDT to a wallet you name, minus network fees, within 14 days.

6. Breach

If either of us seriously breaks this agreement, the other can give written notice. If the breach isn't fixed within 14 days of that notice, the other can end the agreement. Money already paid is then handled under section 5.

7. Ownership, avatar likeness and consent

Final videos and scripts: once you've paid in full, you own them and can use them however you like. Your social media and avatar tool accounts are always yours.
Our know-how: we keep our general frameworks, templates and processes, and may reuse them, but never your specific content or confidential information.
Your likeness: your avatar, your consent and training video, and your voice are used only to make your approved content. Never for anyone else, and never to train other avatars. They live in your own avatar tool account. When you ask, we delete any copies we hold within 30 days, and when the engagement ends we remove our access. You can delete the avatar in your own account at any time.
Third-party assets (e.g. licensed music) stay under their own licences. We show your work publicly only with your permission (founding clients: as in section 4).

8. No guarantee of results

We commit to delivering the agreed work on the agreed schedule. We don't guarantee views, followers, leads, clients, revenue or any other result. These depend on things outside our control, including your offer, pricing, market and follow-up, and platform algorithms and policies.

9. Confidentiality and data

Each of us keeps the other's non-public business information confidential, and uses it only for this agreement. Personal data is handled as described in our privacy policy (https://telegra.ph/Steadycast-Privacy-Policy-10-03), including the retention periods and how to ask for deletion at steadycast@mail.grokbot.com.

10. Liability

We aren't responsible for actions by third-party platforms or tools (e.g. Instagram, your avatar tool, a DM tool), such as account restrictions, outages, or changes to algorithms or prices. To the extent the law allows, neither of us is liable for indirect or consequential losses, such as lost profits. Our total liability under this agreement is capped at the fees you've paid us under it. Nothing here limits liability that can't legally be limited.

11. General

Governing law: the laws of the operator's home jurisdiction, whose courts have jurisdiction. We'll first try in good faith to resolve any issue in writing, by email.
Changes to this agreement must be agreed in writing (email is fine).
Entire agreement: this agreement, the proposal and the terms are the whole agreement between us on this package.

12. Acceptance

To accept, email the words "I accept" to steadycast@mail.grokbot.com from the address you want us to use. Your email, with its date and time, is your written acceptance. We then send the invoice.
